TO THE TERMS SET FORTH HEREIN, AND NOT THOSE
IN YOUR PURCHASE ORDER. If any provision of this
Agreement is held to be unenforceable, such provision shall be
reformed only to the extent necessary to make it enforceable.
This Agreement shall be governed by California law (except for
conflict of law provisions). The application the United Nations
Convention of Contracts for the International Sale of Goods is
expressly excluded.
COMPLETE AGREEMENT. This License constitutes the entire
agreement between the parties with respect to the use of the
Software and related documentation, and supersedes all prior or
contemporaneous understandings or agreements, written or oral,
regarding such subject matter. No amendment to or modification
of this License will be binding unless in writing and signed by
a duly authorized representative of Sunrise Telecom, Inc.
